Job Description
A Legal Manager is entitled with overseeing the legal functions of the Law Firm. This role requires a deep understanding of legal principles and the ability to apply them to business operations to protect the Firm and the Clients from legal risks and ensure compliance with applicable laws.
Responsibilities
- Legal Oversight:
- Provide comprehensive legal support and oversight for all company operations.
- Ensure legal compliance with local, national, and international laws.
- Ensure the clients’ cases comply with all Egyptian laws and regulations.
- Keep abreast of legislative changes and advise management accordingly.
- Contract Management:
- Draft, review, and negotiate various contracts including commercial agreements, leases, employment contracts .. etc.
- Ensure that contractual agreements protect the company’s interests and are following relevant laws, ensuring they serve the clients’ interests.
- Litigation Management:
- Manage and oversee litigation, arbitration, and other dispute resolution processes.
- Coordinate with external counsel and represent the company in legal proceedings when necessary.
- Corporate Governance:
- Maintain corporate records and ensure adherence to corporate governance standards and practices.
- Prepare and manage corporate documentation.
- Handle all corporate governance matters regarding Ordinary and Extra-Ordinary General Assemblies.
- Prepare necessary documents, Invitations, Proxies, and Meeting Minutes.
- Advise on required amendments to the Company’s Articles of Association and Commercial Register.
- Finalize the authentication of meeting resolutions before the General Authority for Investment (GAFI).
- Establish various legal entities and provide advice on incorporation law and the entity’s structure.
- Client IP Management:
- Preserve clients' intellectual property assets, such as trademarks, copyrights, patents, and brand names (registrations and renewals).
- Liaison and Communication:
- Act as a liaison between the company and regulatory authorities.
- Handle communications with stakeholders on legal matters.
- Compliance and Strategic Direction:
- Develop and implement internal policies to ensure company-wide compliance.
- Coordinate with relevant teams for consultation and strategic direction related to compliance with contractual, legal, and regulatory obligations.
- Conduct research and fulfill any requests related to new applicable laws and regulations.
- Documentation and Security:
- Ensure all legal documents are securely documented and maintained.
- Ensure that all documents are securely filed, Scanned, and listed on both soft & hard copies.
- Regulatory Affairs:
- Monitor changes in legislation and regulatory environment that may affect the company.
- Liaise with regulatory bodies and government agencies.
- Legal Advisory:
- Provide legal advice and support to various departments within the organization.
- Offer strategic legal advice to the executive team on a variety of business issues.
- Interpret and advise on legal implications of internal policies and procedures.
- Interpret laws, rulings, and regulations for the company.
- Risk Management:
- Identify potential legal risks and develop strategies to mitigate them.
- Advise on business transactions and other legal matters to minimize risk exposure.
- Training and Development:
- Conduct training sessions for staff on legal issues and compliance requirements.
- Promote awareness of legal and regulatory standards within the organization.
- Leadership and Management
- Lead the firm's various Legal and Administrative Departments.
- Organize and assign tasks to the Firm’s Lawyers.
- Oversee all legal functions and safeguard the interests of the firm’s clients through legal means.
- Administrative Oversight:
- Oversee the operation of the firm’s Administrative Departments such as Digital Marketing, Sales, and IT departments.
- Directly managing the Paralegals, and the Administrative Assistants, and overseeing all their duties & responsibilities.
- Handle Licenses and Permits needed for any company’s objectives.
- Manage Social Insurance for companies, including initiating Social Insurance files and processing employee entry and exit.
- Handling the Financial Matters with the Finance Department, including clients’ Fees & Expenses, Internal Expenses, Payrolls -if needed- Petty Cash .. etc.
- Legal Consultancy:
- Provide legal consultancies to the Human Resources Department for employment matters and employment contract drafting as per applicable laws.
Qualifications
- Educational Background:
- Bachelor’s Degree in Law is essential, English Section is preferred.
- Professional certification as a lawyer is preferred.
- Professional Experience:
- Minimum of 5-7 years of experience in a Legal Role, with a significant share in a leadership or managerial position.
- Experience in a corporate environment is strongly preferred.
- Licensing:
- Licensed to practice law in Egypt.
- Active membership with the Egyptian Bar Association.
- Skills and Competencies:
- In-depth knowledge of Egyptian legal systems and regulations.
- Excellent knowledge of Egyptian Laws and Regulations.
- Excellent Drafting, Negotiation, and Communication Skills.
- Ability to think strategically and provide sound legal advice.
- Ability to work independently and collaboratively with cross-functional teams

- Language Proficiency:
- Fluency in both Arabic and English, with strong verbal and written communication skills in both languages.
- Technical Proficiency:
- Proficient in using legal research tools and software.
- Familiarity with compliance management systems and corporate governance.
Additional Qualifications:
- Experience in a Multinational Companies or Law Firms.
- Knowledge of International Laws and Cross-Border Transactions.
- Experience in managing legal issues in the relevant sectors (Sports, Construction, Energy, Banking, Oil and Gas, Heavy Industries, Hospitals, Information Technology, Communications, Pharmaceuticals, Media, and Transportation) is a plus.
